Standard Contractual Clauses (SCCs) or equivalent safeguards shall apply where required.
We will assist clients in responding to lawful data subject access, correction, deletion, or portability requests.
Enterprise clients may request reasonable documentation demonstrating compliance with this DPA.
Upon termination, personal data shall be returned or securely deleted in accordance with contractual obligations.
Nile IT Technology LLC may provide artificial intelligence, machine learning, automation, and predictive analytics services.
Clients must not use AI systems for unlawful purposes, harmful content generation, discriminatory conduct, or regulatory violations.
AI-generated outputs are probabilistic and may not be fully accurate. Clients are responsible for independent verification.
Clients warrant that data provided to AI systems does not violate third-party rights or applicable laws.
The Company shall not be liable for decisions made based on AI-generated outputs.
Anonymized and aggregated usage data may be used to improve AI systems unless contractually restricted.
This Master Services Agreement governs all enterprise services provided by Nile IT Technology LLC unless superseded by a written contract.
Services may include web development, SaaS platforms, AI systems, cybersecurity advisory, and global commerce infrastructure.
Fees shall be defined in Statements of Work (SOW). Invoices are payable within agreed contractual terms.
Both parties agree to maintain confidentiality of proprietary information.
Pre-existing intellectual property remains with the originating party. Deliverables ownership shall be defined in SOW.
Services are provided in a professional and workmanlike manner consistent with industry standards.
Total liability shall not exceed the fees paid in the preceding twelve (12) months unless otherwise required by law.
Each party agrees to indemnify the other for third-party claims arising from breach of obligations.
Either party may terminate for material breach subject to written notice and cure period.
This Agreement is governed by California law and disputes shall be resolved through binding arbitration under the Federal Arbitration Act.
